Reconcilia AI, LLC

SaaS Services Agreement

Terms governing access to Reconcilia AI for Starter, Growth, Pro and Enterprise customers. Enterprise commercial terms are completed in an Order Form.

Draft effective date: September 22, 2026 · Subject to legal review before production use

1. Agreement and authority

This SaaS Services Agreement is between Reconcilia AI, LLC and the organization accepting it. The person accepting represents that they are authorized to bind that organization. The Agreement becomes effective when accepted electronically or when an applicable Order Form is signed.

2. Service and accounts

Reconcilia provides hosted treasury, accounting, reconciliation, reporting, integration and related workflow services. Customer is responsible for its authorized users, account security, accurate registration information and all activity performed through its workspace.

3. Permitted use

Customer may use the Service for its internal business operations. Customer will not bypass access controls, reverse engineer except where law expressly permits, introduce malicious code, interfere with the Service, misuse credentials, or use the Service unlawfully or to violate third-party rights.

4. Customer responsibilities

Customer is responsible for the accuracy, legality and permissions associated with Customer Data; configuring its workflows and approvals; reviewing results before relying on them; maintaining appropriate internal controls; and providing timely access, data, decisions, testing and approvals required for implementation.

5. Customer Data

Customer retains its rights in Customer Data. Customer grants Reconcilia the limited rights needed to host, process, transmit, back up and otherwise handle Customer Data to provide, secure, support and improve the Service as permitted by this Agreement, the Privacy Policy and any applicable Data Processing Addendum.

6. AI-assisted features

AI features may prepare suggestions, classifications, explanations, reports or proposed actions. Customer must review outputs before using them for financial decisions. AI-provider models, availability, terms and charges may be supplied directly by Customer or governed by the applicable plan or Order Form.

7. Third-party services

The Service may interoperate with banks, payment providers, identity providers, AI providers and other third-party systems. Their terms and charges remain separate unless an Order Form expressly states otherwise. Reconcilia is not responsible for changes, suspension or failure of a third-party service outside its control.

8. Plans, Orders and precedence

Starter, Growth and Pro are customer-led subscription plans. Enterprise includes Reconcilia-led implementation within the agreed scope. An Order Form may add or change commercial terms. A Data Processing Addendum controls for data-processing conflicts; an Order Form controls for its specific commercial scope; this Agreement controls all remaining matters.

9. Fees, annual billing and taxes

Starter, Growth and Pro are billed annually through the supported billing provider at the price shown before purchase. Customer may cancel at any time through the available billing portal or support process. If an annual charge has been paid, cancellation prevents the next renewal and access continues through the end of that paid annual period, unless access is suspended or terminated for cause under this Agreement. Cancellation alone does not entitle Customer to a refund of amounts already paid, except as required by law or expressly agreed in writing. Customer remains responsible for applicable taxes, valid payment information and third-party fees not expressly included. Enterprise billing and cancellation follow its Order Form.

10. Founding Customer offer

Eligible Starter, Growth and Pro customers receive 90 included days from workspace activation, followed by the disclosed first-year annual charge and later renewal at the then-applicable standard annual price. If Customer cancels before the included period ends, no first-year annual subscription charge is due; access ends when that included period ends unless terminated earlier for cause. Enterprise included periods, discounts, fees and cancellation are negotiated and documented in the Order Form. Founding benefits are non-transferable unless Reconcilia agrees otherwise in writing.

11. Enterprise implementation and Commercial Start

Enterprise kickoff begins implementation and does not by itself begin the included service period. The Order Form will define the Commercial Start Date or objective conditions for determining it, including any production-use, acceptance or customer-delay long-stop trigger. Enterprise included days, subscription term and recurring fees begin on the Commercial Start Date unless the Order Form expressly states otherwise.

12. Privacy, security and external exhibits

Reconcilia handles personal information as described in the Privacy Policy and maintains administrative, technical and organizational safeguards appropriate to the Service. A Data Processing Addendum, Security Exhibit or Service Level and Support Exhibit applies only when incorporated by reference or signed by the parties, and may be provided as a separate external document.

13. Confidentiality and intellectual property

Each party will protect the other party’s non-public confidential information and use it only to perform or receive the Service. Reconcilia and its licensors retain all rights in the Service, software, documentation and improvements. Customer may provide feedback, which Reconcilia may use without restricting Customer’s rights in Customer Data.

14. Suspension and termination

Reconcilia may suspend access when reasonably necessary to address non-payment, security risk, unlawful use or a material breach, using notice and an opportunity to cure when appropriate. Either party may terminate for an uncured material breach. Customer remains responsible for accrued fees, and data export or deletion follows the applicable Order Form, Privacy Policy and legal obligations.

15. Warranties, liability and indemnity

Each party warrants that it has authority to enter this Agreement. Except as expressly stated, the Service is provided as available and statutory or implied warranties are disclaimed to the extent permitted by law. Liability limitations, excluded damages, indemnification obligations and any negotiated exceptions must be confirmed by legal counsel and may be supplemented or replaced in an Enterprise Order Form.

16. General terms and changes

The parties are independent contractors. Neither may assign this Agreement except as permitted in an Order Form or in connection with a qualifying corporate transaction. Notices may be delivered electronically to the registered contacts. Governing law and forum should be stated in the applicable Order Form or final counsel-approved version. Reconcilia may update these terms prospectively with reasonable notice; material changes do not retroactively replace a signed Order Form.
